IMPORTANT NOTICE

This document defines the Personal Data Processing Policy of NeuroVision Global LLC (TIN: 9731092853; hereinafter referred to as the "Operator") with regard to Processing of Personal Data and implementation of personal data protection requirements (hereinafter referred to as the "Policy") in accordance with Article 18.1 of the Federal Law of 27.07.2006 № 152-FZ "On Personal Data".

The Policy is developed in accordance with the legislation of the UAE on personal data and applies to all Operator's processes related to the personal data Processing when using the Website and Operator's software, as well as when Processing personal data according to the Client's instructions.

1. Relationship with the Terms of Use

1.1. These Residence Services Terms are product-specific terms for the Residence Services Page and are incorporated into and form part of the Terms of Use of Liberion (the "Terms of Use"). Capitalised terms not defined in these Residence Services Terms have the meanings given to them in the Terms of Use.

1.2. If there is any conflict between these Residence Services Terms and the Terms of Use in relation to the Residence Services Page, these Residence Services Terms shall prevail solely in respect of that functionality. The Terms of Use shall prevail in all other respects.

1.3. If there is any conflict between these Residence Services Terms and any Provider Materials or other non-contractual communication relating to Residence Services, these Residence Services Terms shall prevail in relation to the use of the Residence Services Page.

2. Definitions

2.1. "Provider Materials" means any content or materials made available by or on behalf of a Third-Party Provider in connection with a Residence Service, including service descriptions, marketing materials, checklists, draft contracts and supporting information.

2.2. "Residence Service" means any service offered by a Third-Party Provider through or in connection with the Residence Services Page relating to obtaining, maintaining or supporting any residence, visa, work authorisation, business immigration or relocation status, together with ancillary legal, administrative, tax, banking or corporate assistance.

2.3. "Service Agreement" means any agreement entered into between a User and a Third-Party Provider in relation to a Residence Service, whether generated through the Platform or uploaded by the parties, together with its annexes, schedules, amendments and supplements.

2.4. "Third-Party Provider" or "Provider" means an independent third party that offers or provides Residence Services to Users.

3. Nature of the Residence Services Page

3.1. The Residence Services Page is a digital interface through which Users and Third-Party Providers may review service information, create and sign Service Agreements, exchange documents and use related Platform tools, including electronic signature and Virtual Wallet payment functionality where enabled.

3.2. Any Residence Service selected by a User is provided by the relevant Third-Party Provider under the applicable Service Agreement. The Company is not a party to that Service Agreement unless it is expressly named in it as a contracting party.

3.3. The listing, display, ranking, integration or availability of a Third-Party Provider or Residence Service does not constitute endorsement, recommendation, warranty or assumption of responsibility by the Company in respect of that Provider, Residence Service, Service Agreement, Provider Materials or immigration outcome.

3.4. The Company may make available tools for managing Service Agreements and related documents, including electronic signature and payment workflows. The availability of those tools does not make the Company a provider of the underlying Residence Service, a party to the Service Agreement, an immigration adviser, a law firm, an escrow agent, a payment institution or a fiduciary.

4. Third-Party Providers and Service Agreements

4.1. Each Third-Party Provider is solely responsible for the Residence Services it offers or provides, including all professional, commercial, regulatory and operational aspects of those services.

4.2. Each User is solely responsible for reviewing the relevant Service Agreement before signing it, including the Provider's identity, scope of services, payment terms, refund and termination rules, governing law, dispute resolution and country-specific requirements.

4.3. The Company does not control Third-Party Provider and shall not be responsible for any act, omission, delay, refusal, negligence, misrepresentation, breach, fraud, insolvency, regulatory violation or other conduct of any Third-Party Provider or any person acting on its behalf.

4.4. Any dispute, claim, termination notice or other matter arising out of or relating to a Residence Service or Service Agreement must be addressed to the relevant Third-Party Provider, unless these Residence Services Terms or the Terms of Use expressly provide otherwise.

5. Provider Materials

5.1. Provider Materials may describe Residence Services, eligibility requirements, expected process, timing, cost, supporting documents, benefits, examples and other information relating to a Provider or Residence Service.

5.2. Provider Materials are provided for general informational and promotional purposes only. They do not constitute legal, tax, financial or other professional advice by the Company or Third-Party Provider and do not create any guarantee that a User will obtain, renew or maintain any immigration status, registration, benefit or other result.

5.3. Unless expressly stated otherwise, the Company does not independently verify Provider Materials and does not warrant their accuracy, completeness, currency, legality or fitness for purpose. The relevant Third-Party Provider remains solely responsible for Provider Materials that it provides or causes to be displayed.

5.4. A User must not rely solely on Provider Materials when deciding whether to enter into a Service Agreement. The User should review the Service Agreement, request clarification from the relevant Third-Party Provider and, where appropriate, obtain independent professional advice.

6. User Responsibilities

6.1. You are responsible for ensuring that all information, declarations, documents and other materials provided by you or on your behalf are true, accurate, complete, current and lawful.

6.2. You must promptly inform the relevant Third-Party Provider of any change that may affect your Residence Service or performance of the Service Agreement.

6.3. You must not provide forged, altered, stolen, false, incomplete, misleading or unauthorised documents or information, or use the Residence Services Page for fraud, immigration fraud, financial crime, bribery, corruption or any other unlawful purpose.

6.4. You are responsible for assessing whether you and each person included in the relevant matter are eligible for the applicable Residence Service and whether that service is suitable for your needs.

6.5. You acknowledge that inaccurate information, incomplete documents, failure to meet legal requirements, delayed submissions, changes in law, decisions of authorities, actions of Third-Party Providers or other circumstances outside the Company's control may result in refusal, delay, additional costs, termination of the Service Agreement or loss of fees under the applicable Service Agreement.

7. Payments

7.1. The Residence Services Page may allow you to use the Virtual Wallet to make payments relating to a Service Agreement or Residence Service, subject to technical availability, the Terms of Use, the relevant Service Agreement and Platform instructions.

7.2. The relevant Service Agreement determines the commercial and payment terms for the Residence Service, including the price, currency or token, payment schedule, expenses, taxes, refund rules and consequences of non-payment. The Company is not responsible for verifying whether any amount requested by a Third-Party Provider is correct or due.

7.3. You are responsible for reviewing each payment instruction before authorising a payment through the Virtual Wallet, including the recipient, network, token, amount, fees and payment purpose.

7.4. On-chain transactions may be irreversible. The Company does not guarantee that any payment can be cancelled, reversed, recovered, refunded, traced, re-routed or corrected after it has been signed or broadcast through the Virtual Wallet.

7.5. The Company may delay, block, suspend, restrict or refuse any payment-related functionality where it reasonably considers this necessary for legal, compliance, security or technical reasons.

8. Refunds, Cancellations and Provider Disputes

8.1. The Company is not responsible for any refund, compensation, chargeback, reimbursement, penalty, discount, service credit or other amount due from a Third-Party Provider unless the Company has expressly assumed that obligation in a separate written agreement.

8.2. If a Third-Party Provider approves or is required to make a refund, the Company may, where technically available, provide reasonable Platform functionality to facilitate it. Such facilitation does not make the Company responsible for the Provider's payment obligation.

8.3. Any disagreement between a User and a Third-Party Provider concerning a Residence Service, Service Agreement, payment or refund is a matter between that User and that Third-Party Provider. The Company may, but is not obliged to, provide technical information or Platform records to assist the parties.

9. No Immigration Outcome Guarantees

9.1. The Company does not guarantee and is not responsible for any immigration, residence, visa, work authorisation, citizenship or other regulatory or commercial outcome.

9.2. Decisions of public authorities and other third parties involved in a Residence Service are outside the Company's control.

9.3. Any description of eligibility, timing, required documents, costs, benefits, family reunification, citizenship or permanent residence pathways, bank account availability or similar matters displayed on the Residence Services Page or in Provider Materials is an estimate or general description only unless expressly incorporated into a Service Agreement by the relevant Third-Party Provider.

9.4. You acknowledge that immigration and residence processes may be delayed, suspended, refused, changed or made unavailable due to changes in law or policy, authority practice, missing or inaccurate documents or other factors outside the Company's control.

10. Personal Data and Document Sharing

10.1. Use of the Residence Services Page may involve the processing of sensitive identity, family, financial, tax, immigration, education and employment information and documents.

10.2. The Company processes personal data in connection with the Residence Services Page in accordance with the Privacy Policy and the Terms of Use. Third-Party Providers process personal data in accordance with their own privacy notices, legal obligations and the relevant Service Agreement.

10.3. Where you upload, share, sign or otherwise make documents available through the Residence Services Page, you authorise the Company to process and disclose those documents to the relevant Third-Party Provider and other authorised recipients to the extent necessary to provide the Platform functionality, comply with applicable law, enforce these Residence Services Terms or protect the Platform, Users and third parties.

10.4. You are responsible for ensuring that you have the right to upload, share and process any documents or personal data relating to third parties.

10.5. The Company does not control how a Third-Party Provider uses documents or information after they have been made available to that Third-Party Provider, except to the extent expressly stated in a separate written agreement between the Company and that Third-Party Provider.

11. Provider Access and Provider Obligations

11.1. If you access or use the Residence Services Page as a Third-Party Provider, you represent and warrant that you have all authority, registrations, licences, approvals, qualifications, personnel, subcontractor arrangements and legal capacity required to offer and perform the Residence Services made available by you through or in connection with the Residence Services Page.

11.2. A Third-Party Provider is solely responsible for ensuring that its Provider Materials, Service Agreements, fees, refund rules, timelines, claims, communications, personal data processing and Residence Services comply with applicable law and are not misleading.

11.3. A Third-Party Provider must not represent that the Company guarantees, endorses, supervises, controls or is responsible for that Provider's Residence Services unless the Company has expressly authorised such statement in writing.

11.4. The Company may remove, suspend, restrict, hide or modify any Provider Materials, Residence Service listing, Service Agreement template or Provider access where it reasonably considers this necessary for legal, compliance, security, reputational, technical or operational reasons.

12. Suspension, Removal and Termination

12.1. The Company may modify, suspend, restrict, remove or terminate the Residence Services Page or any related listing, Provider Materials, Virtual Wallet payment function or access right at any time, subject to the Terms of Use and mandatory requirements of applicable law.

12.2. The Company may take any action under Clause 12.1 where it reasonably believes that the relevant functionality, User or Third-Party Provider activity may violate applicable law, the Terms of Use, these Residence Services Terms, compliance requirements or third-party rights.

12.3. Termination or suspension of access to the Residence Services Page does not terminate any Service Agreement between a User and a Third-Party Provider unless the relevant Service Agreement provides otherwise. The Company is not responsible for the consequences of such termination or suspension for the performance of any Service Agreement.

13. Limitation of Liability and Indemnity

13.1. To the maximum extent permitted by applicable law, the Company is not liable for any loss, damage, claim, cost or expense arising out of or relating to any Third-Party Provider, Residence Service, Service Agreement, Provider Materials, immigration outcome, payment or refund dispute, authority decision or other matter outside the Company's direct control.

13.2. To the maximum extent permitted by applicable law, the Company is not liable for any indirect, incidental, special, punitive, consequential or similar damages, including lost profit, lost opportunity, loss of expected residence status, loss of data, loss of documents or losses arising from failed payment, signature, document workflow, withdrawal or transfer.

13.3. To the maximum extent permitted by applicable law, the Company's aggregate liability arising out of or relating to the Residence Services Page shall not exceed the lower of: (a) the fees, if any, paid by you directly to the Company specifically for use of the Residence Services Page during the three (3) months immediately preceding the event giving rise to the claim; and (b) USD 100.

13.4. You agree to indemnify and hold harmless the Company and its affiliates, officers, directors, employees, contractors, agents and service providers from and against any claims, losses, liabilities, penalties, fines, damages, costs and expenses arising out of or in connection with your use of the Residence Services Page, breach of these Residence Services Terms or the Terms of Use, Service Agreement, documents, payment instructions, Provider Materials, Residence Services, violation of applicable law, infringement of third-party rights, fraud or misuse of the Platform.

14. Amendments

14.1. The Company may amend these Residence Services Terms from time to time in accordance with the Terms of Use.

14.2. Your continued use of the Residence Services Page after updated Residence Services Terms become effective constitutes acceptance of the updated Residence Services Terms.

14.3. The Company may implement operational, technical, legal, compliance or product changes to the Residence Services Page at any time, including changes to Providers, Residence Services, templates, payment methods, Virtual Wallet functionality, supported countries, document requirements and access conditions.

15. Final Provisions

15.1. If any provision of these Residence Services Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

15.2. No failure or delay by the Company in exercising any right or remedy under these Residence Services Terms shall operate as a waiver of that or any other right or remedy.

15.3. You may not assign or transfer any rights or obligations under these Residence Services Terms without the Company's prior written consent. The Company may assign or transfer these Residence Services Terms in accordance with the Terms of Use.
